5.3 ELIGIBILITY & RESTRICTIONS

Who Can Use Livia Club:

Eligible Users:

• Must be 18 years of age or older

• Must have legal capacity to enter into contracts

• Must not be barred from doing business under any law

• Must not be on OFAC, MATCH, or other restricted lists

Minors (Ages 13-17):

• May use Livia Club only with parental/guardian consent

• Parents are responsible for minor's use and purchases

• Livia Club does not knowingly collect data from children under 13

Restricted Users - Livia Club Denies Service To:

• Minors without parental consent

• Individuals with criminal intent or fraudulent purposes

• Individuals on government watch lists (OFAC, MATCH, etc.)

• Individuals previously banned from Livia Club

• Individuals attempting unauthorized access

5.4 USER ACCOUNTS

Account Creation:
To purchase from Livia Club, you may create an account or checkout as guest.

Account Information Requirements:

• Valid email address

• Legal name

• Accurate contact information

• Valid payment method

Your Responsibilities:

• Provide accurate, complete information

• Maintain confidentiality of password

• Not share account with others

• Notify us immediately if account is compromised

• You are responsible for all activity under your account

Account Termination:

• Livia Club may terminate accounts for violation of Terms

5.5 PRODUCT INFORMATION & AVAILABILITY

Product Descriptions:

• All product descriptions are provided "as is"

• We attempt to be accurate but do not guarantee:

  • Perfect fit (individual bodies vary; we provide size charts)

  • Material weight or texture (descriptions are guides only)

Product Images:

Product Warranty:

• All dresses are warranted to be free from manufacturing defects

• Defects include broken zippers, seam separation, holes from manufacturing (not wear)

• Warranty does NOT cover normal wear, customer damage, or misuse

• Defects reported within 30 days covered per Return Policy

Availability & Stock:

• Products listed are subject to availability

• We reserve the right to limit quantities per customer

• Livia Club reserves right to discontinue products at any time

• Out-of-stock items result in order cancellation and full refund

5.6 PRICING & PAYMENT

Price Accuracy:

• Prices are accurate at time of posting

• Prices may change without notice

• Price in effect at checkout is price customer pays

• Livia Club is not liable for pricing errors

Price Adjustments:

• Sale prices or discounts not retroactively applied to past purchases

• Flash sales and limited-time offers have specified end dates

• Price matching not offered; we do not match competitor prices

Payment Processing:

• Livia Club does not extend credit; payment in full required at checkout

• "Buy now, pay later" services (Affirm, Klarna, etc.) are third-party; their terms apply

• Livia Club not liable if payment plan is defaulted

5.7 DISCLAIMERS & "AS IS" WARRANTY

Products Provided "AS IS":

• All products sold "AS IS" without warranties except as expressly stated

• No implied warranties of merchantability, fitness for particular purpose, or non-infringement

• Livia Club makes no warranty regarding:

  • Product performance under specific conditions

  • Durability under heavy use

  • Color stability or fade resistance

  • Fit or comfort (size charts provided as guides)

User Content & Website "AS IS":

• Website provided "AS IS" and "AS AVAILABLE"

• Livia Club does not warrant:

  • Website will be uninterrupted, error-free, or virus-free

  • Third-party links will function

  • Website accessibility (though we strive for it)

Fitness for Purpose:

• Customer assumes all responsibility for determining if product meets their needs

• Livia Club is not liable if product doesn't match customer expectations

5.8 LIMITATION OF LIABILITY

Liability Caps:
Livia Club's maximum liability for any claim is:

• The total amount paid by customer for the product causing the claim, OR

• $100, whichever is greater

Excluded Damages:
Livia Club is NOT liable for:

• Indirect damages (lost profits, lost data, lost business opportunities)

• Consequential damages (costs resulting from defect)

• Incidental damages (costs of replacement, workarounds)

• Punitive or exemplary damages

• Frustration or emotional distress

• Any damages exceeding liability cap above

• Return/refund disputes

• Third-party conduct

• Force majeure events

Exceptions:

• Liability cannot be limited for fraud, gross negligence, or willful misconduct

You agree to indemnify, defend, and hold harmless Livia Club from any claims, damages, or costs (including attorney's fees) arising from:

• Intellectual property infringement claims you cause

5.10 INTELLECTUAL PROPERTY RIGHTS

5.12 DISPUTE RESOLUTION & GOVERNING LAW

Governing Law:
These Terms governed by the laws of Connecticut without regard to conflicts of law principles.

Dispute Resolution Process:

Step 1: Informal Resolution (30 Days)

• Describe dispute clearly

• Provide order number and relevant documentation

• Livia Club responds within 5-10 business days

• Attempt to reach mutual resolution

Step 2: Escalation (30 Days)

• If informal resolution unsuccessful, send formal notice to:

Arbitration Waiver:

• By accepting these Terms, you WAIVE THE RIGHT TO:

  • Sue in court

  • Have jury trial

  • Participate in class action lawsuit

  • Pursue claims as representative or in consolidated proceeding

Exceptions to Arbitration:

• Small claims court (under $5,000) available instead of arbitration

• Livia Club may pursue collection actions

• Intellectual property disputes may be pursued in court

5.13 CLASS ACTION WAIVER

No Class Actions:
You agree that any arbitration or legal proceeding between you and Livia Club will be individual (not class-wide).

• You cannot combine claims with other customers

• Arbitrator cannot consolidate multiple claims

• Class actions prohibited regardless of jurisdiction

Exception: Class action waiver not enforceable in certain jurisdictions; local law applies.

5.14 WARRANTY DISCLAIMERS

• Product is warranted free from manufacturing defects for 30 days

No other agreements (verbal, written, or implied) are valid unless signed by authorized Livia Club representative.

5.21 MODIFICATIONS TO TERMS

Right to Modify:
Livia Club reserves right to modify these Terms at any time.

Notice & Acceptance:

• Material changes announced via email (30 days' notice) or website banner

• Continued use after notice period constitutes acceptance

• If you disagree with changes, discontinue use of website

Changes Take Effect:

5.22 TERMINATION OF USE

Livia Club May Terminate If:

• Your account is used fraudulently

• Repeated or serious violations occur

• Legal requirement mandates termination

Customer-Initiated Termination:

• You may stop using Livia Club at any time

• Existing orders continue per Shipping & Return policies

• Account can be deleted per Privacy Policy

Upon Termination:

• Account access revoked

• Outstanding orders processed per policy

• Refunds issued for cancelled orders per Cancellation Policy
